Seller Agreement — Proposed Revision

Proposed seller terms covering checkout methods, sales holds, refunds and AI listings.

Draft for legal review • updated 2 November 2026 • not yet an effective agreement. Operator identity is verified against CAC records (BN 9776404). Fund custody (Flutterwave), provider permission and the data-retention schedule are now stated. Final sign-off by a Nigerian lawyer is pending before adoption. These drafts do not certify regulatory compliance or replace the currently accepted seller agreement.

1. Operator and legal status

Dropp is operated by IMOLEOLUWA DISCIPLESHIP HUB, a sole proprietorship registered with the Corporate Affairs Commission of Nigeria under the Companies and Allied Matters Act 2020, Business Name Registration No. 9776404 (registered 15 August 2026; nature of business: IT services). Tax Identification Number: 2623063880394. Principal place of business: Road 6, Kulodi, Ibadan, Oyo State, Nigeria. Registered contact email: idahubng@gmail.com.

Dropp provides wallet, payment-link and commerce tools. Dropp integrates with Flutterwave for collections, virtual-account services and bank cash-outs. Flutterwave, a payment service provider licensed by the Central Bank of Nigeria, holds customer funds and has confirmed that it permits Dropp's use of its collection, virtual-account and transfer services. Dropp itself is a technology platform: it does not hold a CBN banking, mobile-money or payment-service licence and does not take deposits.

2. Relationship and listings

You are the supplier of the goods, services or digital access listed under your account. Provide accurate descriptions, prices, delivery terms and support details and hold the necessary rights and authorisations. Review Dropp AI output before publishing. A verification badge is not a guarantee or regulatory endorsement.

3. Payment methods and fees

Buyers may use Dropp Wallet or supported guest card/bank checkout. Product sales currently carry a Dropp seller fee of 2%, capped at ₦1,000 per sale. Checkout links created with the WhatsApp SELL command carry the Dropp AI Commerce Fee of 2% + ₦20 per completed payment, deducted from the seller's proceeds and shown in the seller's wallet history; nothing is charged for creating a link or messaging the assistant. Processor fees are separate and the selected fee-payer arrangement must be shown accurately before checkout. Administrative pricing changes require clear prospective notice and must not rewrite completed transactions.

4. Hold, cash-out and refunds

Net product-sale proceeds are normally unavailable for cash-out for 24 hours. This is not escrow, insurance, guaranteed delivery or automatic repayment. Cash-out remains manual and subject to verification, availability and lawful risk/dispute restrictions; where lawful, a restriction must have reasons and a review route.

Respond to buyer refund requests and supply relevant delivery evidence. Statutory remedies do not depend on your approval and are not limited to the hold period. Refund amounts, fees and destination must be explained and lawfully processed. Platform records do not remove either party's non-excludable rights.

5. Adoption and existing agreement

This proposed revision has not been published as the versioned agreement or accepted by sellers. The existing Business Terms page remains the source of the currently published agreement. Before adoption, reconcile these clauses with provider contracts, operational refund capabilities, legal review and the accepted versioning process.
